Hexallt Dutch School – Terms & Conditions For Trainers

These Terms & Conditions ("Agreement") outline the use of the Hexallt Dutch School ("HDS") platform, a division of Hexallt Learner Central, a company owned by IEDP Private Limited ("Company", "We", "Us"), by the Training Service Provider ("TSP"), referring to an independent trainer providing instructional services on the platform.

By accepting an engagement with Hexallt, the Trainer agrees to the following terms:

1. Trainer Engagement

1.1. Trainers are engaged on a freelance, non-employee basis. No employer-employee relationship is established.

1.2. Trainers are responsible for delivering lessons in accordance with the Bulletproof 1-Hour Lesson Plan and must adhere to the allotted hours provided by Hexallt.

1.3. Trainers must conduct classes online using the designated learning management system (LMS).

1.4. Trainers must schedule classes based on the convenience of the majority of students in a group to ensure better engagement and attendance.

1.5. Classes must be scheduled every week to maintain consistency and learning momentum.

1.6. Trainers will be provided training on how to use the Hexallt platform for smooth course delivery.

2. Fee Structure & Commission Model

2.1. Trainer-Determined Fees

  • Trainers have the flexibility to set their own hourly rate for teaching.

2.2. Student Payment Model

  • If Hexallt refers a student, we take a 15% commission on the total fees paid by that student.

  • If a Trainer refers their own students, they retain 100% of the fee (Hexallt takes no commission).

  • Students referred by Hexallt must make payments directly to HDS, while students referred by Trainers will pay the Trainer directly. A one-time usable coupon code will be given to each student.

2.3. Trainers Using Hexallt for Their Own Students

  • Trainers are allowed to use Hexallt’s platform to teach their own students.

  • In this case, students must pay a platform fee (determined by Hexallt), but Hexallt does not take a commission on the student’s course fee.

  • Trainers are fully responsible for managing their own students and payments, except for the platform fee.

3. Trainer Subscription & Platform Fee

3.1. Mandatory Monthly Subscription Fee

  • Trainers must pay a monthly subscription fee of ₹1200 + tax to keep their account active on HDS. The platform fee remains the same irrespective of the number of students and number of batches.

  • This fee must be paid before the 5th of every month.

  • Non-payment of the subscription fee will result in temporary suspension until the fee is cleared.

3.2. Platform Access & Features

  • Subscription provides access to the Hexallt LMS, scheduling tools, student management, and platform support.

  • Trainers can conduct classes, track student progress, and manage lesson plans within the system.

4. Payment Terms & Schedule

4.1. Payment Breakdown

  • Trainer payments are split into three installments based on the total number of classes scheduled.

  • First installment is paid before the course starts, ensuring a partial upfront payment.

  • Remaining installments are paid as the course progresses, ensuring commitment from both parties.

4.2. Payment Processing

  • Payments will be processed in three scheduled payments based on course milestones.

  • If a student referred by Hexallt discontinues the course, the trainer will be paid only for the completed sessions (post-commission deduction).

  • Any applicable tax deductions (TDS, GST) will be applied per Indian tax regulations.

5. Class Cancellations & Rescheduling

5.1. Trainer-Initiated Cancellations

  • If a Trainer needs to cancel or reschedule a class, they must inform both Hexallt and students at least 48 hours in advance.

  • Rescheduled classes must be completed within the agreed course timeline.

  • Emergency cases will be considered on a case-by-case basis.

  • Repeated cancellations without valid reasons may lead to payment adjustments or discontinuation.

5.2. Student No-Show Policy

  • If no students join within the first 15 minutes, the Trainer must report it immediately, and the session will be marked as "No Show" without payment.

5.3. Hexallt-Initiated Cancellations

  • If Hexallt cancels a session, trainers will be notified in advance, and the session will be rescheduled for another time.

6. Performance & Quality Standards

6.1. Trainers must follow the official lesson structure and avoid modifying teaching plans.

6.2. Trainers must maintain a professional and engaging environment, ensuring active student participation.

6.3. All sessions must be recorded for quality checks and compliance with Hexallt’s standards.

6.4. Poor student feedback or repeated quality issues may result in reduced class assignments or termination.

7. Code of Conduct

7.1. Trainers must maintain a professional and respectful demeanor in all interactions with students.

7.2. Any form of harassment, discrimination, or inappropriate behavior will result in immediate termination.

7.3. Trainers must not promote external courses or direct students to personal services.

8. Confidentiality & Data Protection

8.1. Trainers must not disclose or misuse student information for personal or external purposes.

8.2. Hexallt’s learning materials and resources remain the property of Hexallt and cannot be copied, shared, or used outside of official sessions.

9. Termination of Agreement

9.1. Either party may terminate this agreement with 30 days' written notice.

9.2. Hexallt reserves the right to immediately terminate a trainer’s engagement if they:

  • Repeatedly miss or cancel sessions without valid reasons.

  • Receive poor student feedback over multiple sessions.

  • Violate the code of conduct or breach confidentiality.

10. Legal Compliance

10.1. Trainers must comply with Indian tax regulations, including GST and TDS, if applicable.

10.2. Any disputes arising from this agreement will be resolved under Indian jurisdiction, Karnatak, Bangalore.

11. Acceptance of Terms

By registering, you agree to abide by these Trainer Terms & Conditions.
